Terms and conditions for using our services

1. Agreement to Terms

By accessing our website or engaging our services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services. Capaxia IT Solutions reserves the right to modify these terms at any time.

2. Services Overview

Capaxia IT Solutions provides professional IT services including but not limited to:

  • DevOps & Automation Solutions
  • Cybersecurity Services
  • IT Consulting & Strategy
  • Technical Support & Maintenance

Specific services, deliverables, timelines, and pricing will be outlined in individual project agreements or statements of work.

3. Client Responsibilities

When engaging our services, you agree to:

  • Provide accurate and complete information required for project execution
  • Grant necessary access to systems, data, and resources as needed
  • Respond to queries and provide feedback in a timely manner
  • Make payments according to agreed-upon terms
  • Maintain confidentiality of any proprietary information shared during the engagement

4. Intellectual Property

Unless otherwise specified in a separate agreement:

  • All pre-existing intellectual property remains the property of its original owner
  • Custom work product developed specifically for the client becomes client property upon full payment
  • Capaxia retains ownership of generic tools, frameworks, and methodologies developed during the engagement
  • The Capaxia name, logo, and branding are trademarks of Capaxia IT Solutions

5. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information disclosed during the engagement. This includes but is not limited to business strategies, technical specifications, source code, customer data, and financial information. Confidentiality obligations survive the termination of any agreement.

6. Payment Terms

Payment terms will be specified in individual project agreements. General terms include:

  • Invoices are due within 15 days of issuance unless otherwise agreed
  • Late payments may incur interest charges
  • Project work may be paused for overdue payments
  • All fees are exclusive of applicable taxes

7. Warranties & Disclaimers

Capaxia IT Solutions warrants that services will be performed professionally and in accordance with industry standards. However:

  • We do not guarantee uninterrupted or error-free operation of delivered software
  • Third-party services and integrations are subject to their respective terms
  • Website content is provided "as is" without warranties of any kind

8. Limitation of Liability

To the maximum extent permitted by law, Capaxia IT Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services or website. Our total liability shall not exceed the fees paid for the specific service giving rise to the claim.

9. Termination

Either party may terminate an engagement with written notice as specified in the project agreement. Upon termination:

  • Client shall pay for all work completed up to the termination date
  • Both parties shall return or destroy confidential information
  • Provisions regarding confidentiality and intellectual property survive termination

10. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of India. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra.
